Dick Cheney: Picking Sarah Palin for VP Was 'A Mistake'

Dick Cheney has some advice for Mitt Romney on choosing a running mate: Don't pick another Sarah Palin.

In his first interview since receiving a heart transplant in March, Cheney told ABC News, that John McCain's decision to pick Palin as his running mate in 2008 was "a mistake" - one that it is important from Romney not to repeat.

It's subject on which Cheney has some unique experience. He helped Presidents Gerald Ford and George W. Bush lead their vice presidential searches and, of course, served as vice president for eight years. He's also privately offered some advice to both Romney and Beth Myers, who is leading Romney's search for a runningmate, on the process.

Cheney would not comment on what he told Romney and Myers, but he was harsh in his assessment of McCain's decision to pick Palin.

"That one," Cheney said, "I don't think was well handled."

"The test to get on that small list has to be, 'Is this person capable of being president of the United States?'"

Cheney believes Sarah Palin failed that test.

"I like Governor Palin. I've met her. I know her. She - attractive candidate. But based on her background, she'd only been governor for, what, two years. I don't think she passed that test?of being ready to take over. And I think that was a mistake."

Corporation v. LLC for Asset Protection ? the Jonas ... - Penzien Law

There is often discussion among business attorneys as to which entity provides the best protection against creditors, the corporation or the limited liability company (LLC). ?When there is one owner of the entity, many attorneys will champion the LLC citing applicable statutes which say that the only remedy available to the creditor of an LLC owner is a charging order, and that the stock of a corporation (with one owner) is much more?vulnerable?to creditor claims as a result.

As applies to single owner LLC?s, this claim has been weakened by a few?Bankruptcy Court cases in the past several years. ?In 2003, there was a Bankruptcy case out of Colorado,??In re: Ashley Albright, Debtor, Case No. 01-11367 ? ABC, Chapter No. 7 (2003 Bankr. D. Co. LEXIS 291), in which the Bankruptcy Court held that the Single Member LLC was an asset available to the creditors of the Bankruptcy debtor. ?More recently, a case out of Montana,?In re Jonas, 2012 WL 2994724 (Bkrtcy.D.Mont., Slip Copy, July 23, 2012), came down the same as Albright, leading many to speculate that the single member LLC has limited asset protection use (similar to a single owner corporation). ?The implication here is that there does not appear to be much of a difference between an LLC with one owner and a corporation with one owner once the Bankruptcy Courts get involved, casting doubt about whether one entity type is preferable to the other in terms of asset protection.

It is important to note that these cases do not stand for the proposition that single member LLC?s, or single shareholder corporations, have no use. ?These cases deal with a Bankrupt owner, not with a troubled entity, where the outcome would likely be different. ?For example, if the LLC in Albright or Jonas were the debtor in Bankruptcy, with the creditors attempting to get at the personal assets of the business entity owners, the LLC?s would likely have shielded the owners from those creditor claims.

Italy business lobby sees urgent need for euro bank union

MILAN (Reuters) - Italy's biggest business lobby called on Saturday for quick implementation of a European Union summit decision last month to create a banking union, as credit in Italy and other peripheral euro-zone countries dries up.

"The euro-zone bank union must be implemented more quickly than what was decided at end June, with supervision and risks joined together and direct recapitalization of banks by the EFSF-ESM funds," Confindustria research body CSC said in a study.

European Central Bank president Mario Draghi on Thursday pledged to do whatever was necessary to protect the euro zone from collapse, prompting hopes of an ambitious new program.

"The extraordinary intervention of the ECB of two rounds of three-year loans has prevented the violent credit crunch from worsening. But in many cases this is no longer enough," CSC said.

The study said heavy buying of government bonds would repair banks' battered balance sheets and help reduce disparity between credit conditions in Europe's core and periphery.

Portugal, Ireland, Italy, Greece and Spain not only face write-downs on public debt and lower bank capital ratios, but also a decline in deposits, which risks blocking funds to the economy, CSC said.

Bank accounts deposits in Italy fell by 55 billion euros ($67.77 billion) or 7.2 percent in May from a year earlier, while in Germany they rose by 135 billion euro or 12.5 percent and in France by 55 billions or 11.1 percent over the same period, according to data cited in the study.

My cousins and everyone teased her that because she was so fat, she broke the bed.? She went outside my aunt's house crying and Rocky came outside to comfort her.? He has been a part of our family since.? He has spent many a winter living at my parents house - he taught me how to play many card games like spades and cribbage.? He is the most resourceful, frugal person I know.? I wanted him to write a?"coffee table" book on his?adventures - he is a?veteran and has?lived a colorful life.

Facebook shares sink to new low after 2Q results

NEW YORK (AP) ? Facebook's stock hit a new low Friday after it reported lukewarm second-quarter results and didn't give an outlook for the coming months.

The stock fell $2.88, or nearly 11 percent, to $23.97 in afternoon trading Friday, after earlier trading as low as $22.28.

Facebook Inc.'s initial public offering of stock priced at $38, and its low had been $25.52, hit on June 6. The stock is now about 37 percent below its IPO price.

Facebook issued its first financial report as a public company after the market closed Thursday. The company reported slightly stronger-than-expected revenue and a gain in user numbers, but investors weren't impressed.

Although revenue grew 32 percent in the second quarter, growth has slowed from earlier this year and from previous years. That's a concern for a newly public company. Investors are willing to value new companies highly, even if they are not making a profit, because they expect booming revenue.

Baird's Colin Sebastian also pointed out that the company is spending more on technology and hiring, driving up expenses.

But he's not overly concerned. He backed his "Outperform" rating for Facebook, saying advertising revenue was better than expected and the company is improving its ability to make money from users who access Facebook from apps on their phones and tablet computers.

Other analysts remained positive, too. Of 27 analysts available from FactSet, 15 have "Buy" ratings or equivalent, while just three are a "Sell." Analysts tend to have longer-term views of stocks than many day-to-day investors.

Mobile and users in developing countries are driving growth in active monthly users, Sebastian said. Facebook had 955 million active monthly users as of June 30, up 29 percent from a year ago.

"We don't view these results as dramatically good or bad," said Citi analyst Mark Mahaney. "Key questions remain: the future of Facebook mobile monetization and the future of Facebook user engagement."

Analysts also cautioned that the stock could be volatile because Facebook didn't offer investors and financial analysts its outlook for the rest of the year.

Overall the company reported a loss of $157 million, or 8 cents per share, in the April-June period, mainly because of compensation expenses it incurred when it paid $1.3 billion in restricted stock and related taxes for employees as part of the IPO. The loss compared with earnings of $240 million, or 11 cents per share, in the second quarter a year ago.

The company's adjusted earnings of $295 million, or 12 cents per share, matched Wall Street's expectations.

Facebook's revenue of $1.18 billion was slightly higher than the $1.16 billion expected by analysts surveyed by FactSet.

The results came two months after Facebook's stock flopped on its first trading day, on May 18. The day began with glitches with the Nasdaq Stock Market that delayed trading by half an hour. It didn't get much better from there. Despite months of hoopla that had investors thinking it would soar, the stock closed just 23 cents above its $38 IPO price. It has not reached that level since.

Investors were holding out hope that Facebook would far exceed expectations ? even though the company effectively warned investors before its IPO that Wall Street's expectations were too high. In a filing issued a week before its IPO, for instance, Facebook said its mobile users are growing at a faster pace than the number of ads on its mobile platform.

Analysts took that as a sign that their estimates were out of whack and many of them reduced their estimates for Facebook's projected revenue and earnings.

Even though the number of people who use mobile devices and tablet computers to access Facebook had been growing fast, Facebook didn't start showing ads on its mobile app until this spring. Facebook had 543 million active monthly mobile users at the end of the quarter, a 67 percent increase from a year earlier.

In a conference call with analysts Thursday, CEO Mark Zuckerberg said Facebook's mobile users are more active than those who use the personal computer version.

"On average mobile users are around 20 percent more likely to use Facebook on any given day," he said. "So mobile not only gives us the potential to connect more people with our services and also gives us the ability to provide more value and more deeply engaging experience."

Facebook said its revenue from advertising totaled $992 million, a 28 percent increase from the same quarter last year. That number accounted for 84 percent of total revenue. The company did not say what portion was from mobile advertising. The rest came from payments and other fees, money Facebook makes from Zynga games and other apps.

CHESTNUT HILL, MA (July 27, 2012) Matchmaking managers can improve customer relations and increase repeat business by pairing employees and customers with similar personalities, according to a report in the latest edition of the Journal of Service Research.

The study by three German researchers suggests that managers use role-playing exercises, videotaped rehearsals and on-site evaluations to better determine the service experience from the customer's perspective. Then match the right employees with the right customers, report marketing professors Jan Wieseke, of Ruhr-University of Bochum, Anja Geigenmller, of Ilmenau University of Technology, and Florian Kraus, of the University of Mannheim.

Central to improving service is fostering an empathic relationship between employees and customers. The researchers found a direct link between employee empathy, customer satisfaction, and customer loyalty. The more empathic an employee is toward a customer, the happier the customer will be, and the more likely he or she will be to come back.

To successfully match make, the researchers suggest managers undertake "interaction routing," or pairing customers and employees based on their personalities.

The professors recognized one firm, eLoyalty, for its Integrated Contact Solutions business, which optimizes customer experience by directing each caller to the employee who best matches the caller's psychological profile. "The firm employs several linguists, behavioral scientists, and statisticians to elaborate communication patterns and algorithms to predict customer interaction behavior," Wieseke said.

But there are other, less complex and less expensive measures businesses can take.

Simple surveys can be used to prompt customers to reveal their personality types. Wieseke, Geigenmller and Kraus also recommended educating employees about the impact of personality traits and providing routes to respond effectively to certain customer characteristics. They emphasized the importance of training employees to respond appropriately both verbally and non-verbally in a service setting, which can certainly make or break a customer's experience.

"The authors' results show that this eHarmony-like matching of employees and customers is a very effective tactic," said Katherine Lemon, editor of the Journal of Service Research and Accenture Professor of Marketing at Boston College. "Empathic customers are much more likely to forgive a spilt coffee or undercooked steak, and empathic employees are much more likely to respond sensitively to customer requests and complaints. This then mitigates the negative effects of customer dissatisfaction on customer loyalty."

Bloomin' Brands Inc., which also runs Bonefish Grill, Fleming's Prime Steakhouse and Wine Bar, Carrabba's Italian Grill and Roy's, said in a filing with the Securities and Exchange Commission on Wednesday that its IPO is for approximately 21.4 million shares.

The company and the selling stockholders are both selling about 10.7 million shares. Bloomin' Brands won't receive any proceeds from shares sold by selling stockholders.

Bloomin' Brands anticipates the IPO being priced between $13 and $15 per share.

The underwriters are being given a 30-day option to buy up to an additional 3.2 million shares from certain selling stockholders.

The company foresees net proceeds of about $136.1 million. This is based on an offering price of $14 per share, at the midpoint of the expected range. It also deducts estimated offering expenses and underwriting discounts and commissions.

Bloomin' Brands plans to use the net proceeds from the IPO, coupled with available cash, to retire all of its outstanding 10 percent senior notes due 2015. About $248.1 million was outstanding as of March 31.

Bloomin' Brands said that after the IPO closes, it will still be majority owned by Bain Capital. The investment firm will continue to control a majority of the voting power of the company's outstanding stock.

Bloomin' Brands, previously known as Kangaroo Holdings Inc., says it owns and runs 1,247 restaurants and has 195 restaurants under franchise or joint venture deals in 49 states and 21 countries and territories internationally. Its first Outback Steakhouse opened in 1988.

The Tampa, Fla., company's 2011 net income was $100 million, up from $53 million in the prior-year period. Revenue climbed to $3.84 billion from $3.63 billion.

The stock is expected to list on the Nasdaq Global Select Market under the "BLMN" ticker symbol. ?
